Position Overview & Specifications
We are looking for an inquisitive, ambitious and resourceful Assistant Company Secretary to play a key role in our growing Secretariat function. Someone who is not afraid of a challenge and is willing to get stuck in. This is a visible role within the organisation and it will provide exposure to all aspects of our business.
Key Role and Responsibilities
- Driving high standards of corporate governance across the organisation.
- Providing support for a number of Executive Committees (preparing agendas, timely circulation of accurate minutes, compiling relevant actions, issuing papers and reviewing terms of reference).
- Providing input to key governance and reporting documents including assisting in the preparation and delivery of the Annual Report and Accounts.
- Providing Secretariat input for Group reorganisation / restructuring projects.
- Assisting with the day to day administration of employee share schemes.
- Ensuring statutory information and company registers are up to date and accurately maintained.
- Keeping up to date on developments in company law, corporate governance best practice and relevant regulation.
- Making suggestions for improvements and efficiencies to provide optimal support to the business, Group entities and Executive Committee structure.
- Ideally, you will be CGI qualified (or approaching qualification).
- You will have worked within a financial services Secretariat function, for a listed company, and bring first rate knowledge and understanding of corporate governance and statutory information.
- Working knowledge of GEMS and Diligent Boards preferred.
- You will be an excellent communicator, able to build and manage relationships across all levels of the business and with external stakeholders.
- You will have excellent attention to detail, able to produce documentation to the highest standard with limited supervision.
- You will be highly organised and able to work to your own deadlines whilst also providing support to other members of the team.
